About the role

RSM Legal are currently seeking an ambitious and business minded junior Corporate Solicitor with excellent academics and corporate experience to work within a growing corporate legal team.

RSM Legal is the client facing legal team which sits within the wider RSM UK group. The RSM Legal corporate team was established 2017 and has ambitious plans for future growth. The new corporate lawyer will enjoy developing business and will relish the opportunity to be part of this expansion.

As part of the role you will work in an SRA regulated Alternative Business Structure which will afford you opportunities not found within traditional legal practices. You will have the opportunity to work alongside professionals from RSM UK’s multiple services lines which includes tax, corporate finance, outsourcing, audit and consulting. Although RSM Legal is a relatively new business, as it sits within a Global Top 10 accounting and professional services firm, you will also get the opportunity to work with large multi-national clients that are normally the reserve of long established top tier law firms.

Role requirements

The successful candidate should be able to demonstrate hands-on experience across a wide range of corporate work with a focus on corporate reorganisations and should be confident in providing advice directly to clients. Essential skills and experience include the following:

  • Corporate reorganisations, business structuring and group simplifications.
  • Design and implementation of corporate rationalisations and business transformation projects, with experience of rectification of implementation being valuable.
  • Restructuring of intra-group loans and trading balances.
  • Experience of the standard range of corporate law procedures, transactions and issues such as capital reductions, share buy backs, distributions, share capital reorganisations, corporate governance and other aspects of corporate and contract law.
  • Demergers and reconstruction agreements.
  • Shareholders agreements, joint venture agreements and investment agreements.
  • Drafting, reviewing and amending Articles of Association, board minutes, shareholder resolutions, deeds of adherence.
  • Drafting, reviewing and amending asset/share purchase agreements, subscription agreements, business transfer agreements.
  • Advising and drafting documentation in respect of reorganisations and structuring of companies and businesses, including MBOs and MBIs and including loan/debt agreements or waivers.
  • Advising as part of a team offering in connection with disposals, acquisitions, mergers and de-mergers, pre-pack deals.
  • Strong project management skills to implement the legal aspects of corporate reorganisations, business structuring and group simplifications.
  • Ability to work as a team with Chartered Company Secretarial colleagues and supervise as appropriate.
